Terms of Service

Welcome to GradSlides Pro. These Terms of Service ("Terms") govern your access to and use of our graduation slideshow platform and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms on behalf of your school, college, university, or other institution ("Client").

1. The Service

GradSlides Pro provides a fully managed service to automate the collection, management, production, and delivery of professional graduation slideshows. The specifics of the Service provided will be outlined in the service agreement or invoice between GradSlides Pro and the Client.

2. Client Responsibilities

The Client is solely responsible for:

  • Providing accurate information for account setup and billing.
  • Obtaining all necessary consents and permissions from its students or graduates ("End-Users") to collect their personal information (name, photo, message, etc.) for use in the graduation slideshow.
  • The content submitted by its End-Users. The Client agrees that it has the right to use this content and that it does not violate any third-party rights.
  • Complying with all applicable laws and regulations, including but not limited to the Family Educational Rights and Privacy Act (FERPA) and the Children's Online Privacy Protection Act (COPPA).

3. Content Ownership and License

The Client (and its End-Users) retains all ownership rights to the content submitted to the Service, including photos, names, and messages ("Client Content"). By using the Service, the Client grants GradSlides Pro a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display the Client Content solely for the purpose of providing and delivering the contracted Service.

4. Fees and Payment

The Client agrees to pay all fees associated with the selected service package as outlined on our website or in a separate service agreement. All fees are due upon receipt of the invoice unless otherwise specified. Failure to make timely payments may result in a delay or suspension of the Service.

5. Intellectual Property

Excluding Client Content, all aspects of the Service, including our website, platform, software, and branding, are the exclusive property of GradSlides Pro and its licensors. The Client may not copy, modify, or reverse-engineer any part of our Service.

6. Term and Termination

This agreement begins upon the Client's engagement of the Service and continues until the final deliverable is provided. Either party may terminate this agreement for a material breach if the breaching party fails to cure the breach within 30 days of written notice. Upon termination, we will proceed with the secure deletion of all Client Content as outlined in our Privacy Policy.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. GRADSLIDES PRO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GRADSLIDES PRO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM THE USE OF THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

The Client agrees to defend, indemnify, and hold harmless GradSlides Pro from and against any claims, damages, or expenses (including reasonable attorneys' fees) arising from the Client Content or the Client's breach of these Terms.

10. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law principles.

11. Changes to These Terms

We may modify these Terms from time to time. We will provide notice of any material changes, and your continued use of the Service after such changes constitutes your acceptance of the new Terms.
